Ermächtigung des Vorstands, das Grundkapital um bis zu EUR 109.050.000,- durch Ausgabe von 50.000.000 neuen Inhaberaktien zur Ausgabe an Gläubiger von Wandelschuldverschreibungen zu erhöhen soweit diese von ihrem Bezugs- und/oder Umtauschrecht Gebrauch machen (bedingte Kapitalerhöhung).
Ermächtigung des Vorstands, Wandelschuldverschreibungen auszugeben, die das Bezugs- und/oder Umtauschrecht auf den Erwerb von insgesamt bis zu 90.000.000 Aktien der Gesellschaft einräumen.
